Introduction

This Addendum enhances and supplements the Terms of Use (ToU) for Marketplace Vendors participating in The Mushroom Network, LLC (TMN). It outlines responsibilities, expectations, and the structure of vendorship within TMN’s Marketplace.

This Marketplace Vendor Agreement (“Agreement“) is entered into by and between the individual or entity (“Marketplace Vendor“) who is using or accessing the services provided by The Mushroom Network, LLC (“Company”, “We”, “Our”, or “Us”). The purpose of this Agreement is to ensure transparency, promote collaboration, and establish a fair and mutually beneficial partnership.

By offering your products and/or services, which shall also be referred to as “Genetics“, for sale on the Mushroom Network’s platform, you agree to comply with and be bound by this Agreement.

Addendum Acceptance

  • Binding Agreement: Acceptance of this Addendum, alongside the ToU, is required for marketplace participation. This Agreement constitutes a binding contract between you and the Mushroom Network
  • Updates: TMN may amend this Addendum, with changes communicated to vendors. If we make changes to this Agreement, we will provide notice of such changes. Your continued use of the Mushroom Network following the notice of any changes constitutes acceptance of those changes.

Vendorship Type and Fees

TMN is dedicated to fostering a dynamic and inclusive marketplace for mycology enthusiasts. To support this mission, TMN offers three distinct vendorship categories, each designed to meet the unique needs of our diverse vendor community. This policy outlines the structure, fees, and benefits associated with each vendorship option, ensuring clarity and transparency for all participants.

Myco-Vendor (Genetics Only)

  • Freedom Vendorship (Free): Aimed at vendors specializing in mushroom genetics. TMN upholds a 25% profit share to facilitate centralized quality control and logistics. Each transaction incurs a $2.50 fee.
  • Premium Vendorship (Paid): Offers an 18% TMN profit share, reflecting our enhanced support services. The $2.50 transaction fee is consistent across both options, underscoring our commitment to streamlined logistics and quality assurance.

Myco-Creative (Non-Genetics Only)

  • Freedom Vendorship (Free): Crafted for artisans of mycology-related products, this option entails a 20% TMN profit share. A $2.50 transaction fee is applied, with TMN overseeing shipping for items in TMN HUBs.
  • Premium Vendorship (Paid): Reduces TMN’s profit share to 15%, designed for artisans seeking increased market presence. The transaction fee remains at $2.50, ensuring equitable access to our logistical support.

Myco-Blend (Blended)

  • Freedom Vendorship (Free): For vendors offering both genetics and non-genetic mycology products. This flexible option involves a 22% TMN profit share, with a $2.50 transaction fee on all sales.
  • Premium Vendorship (Paid): Lowers TMN’s profit share to 16%, ideal for vendors aiming for a comprehensive marketplace presence. This blended approach also carries a $2.50 transaction fee.

TMN’s approach ensures a streamlined process for all vendorship types, emphasizing the support and infrastructure provided to vendors, especially in logistics and market exposure. This structured yet flexible system fosters a dynamic marketplace, encouraging diverse offerings while maintaining high standards of quality and vendor support.

TMN Marketplace Transaction Fee

A uniform transaction fee of $2.50 is applied to all sales within the TMN Marketplace, across all vendorship categories. This policy ensures a straightforward and transparent fee structure for our vendors, contributing to a seamless transaction process.

Patron Interaction:

Vendors must maintain professional and respectful communication with Patrons at all times. This includes the handling of inquiries, disputes, and feedback in a manner that reflects positively on the Vendor and the TMN. The Mushroom Network’s “Community Conduct” policy provides a comprehensive framework for interactions within the platform, emphasizing respect, privacy, and constructive engagement. Any behavior that undermines these principles may be subject to remedial action.

Remedial Actions:

The Mushroom Network reserves the right to take appropriate remedial actions against Vendors found in violation of these policies. Actions may include warnings, temporary suspension of trading privileges, or termination of the Vendor agreement in cases of severe or repeated violations. These measures are intended to preserve the marketplace’s integrity and ensure a fair, safe, and legal trading environment for all Vendors and Patrons.

Vendor Onboarding:

New Vendors will be guided through the Terms of Use and this Addendum as part of their registration and approval process. This ensures that Vendors understand and agree to comply with the standards, expectations, and responsibilities established by the TMN from the outset of their participation in the marketplace. This onboarding process is designed to build a foundation of knowledge and commitment to the ethical, legal, and community-focused values that define the Mushroom Network.


Compensation & Payout Scheduling:

TMN is committed to a fair, secure, and efficient transaction process for both Patrons and Marketplace Vendors. We’ve established a payment system that ensures transparency and trust.

  • Full Payment Prior to Shipment: Full payment is required before any product is shipped to maintain transaction integrity and security.
  • Escrow System for Secure Trading: Our escrow system ensures that Patron funds are securely held by TMN until the Marketplace Vendor confirms the order has been delivered, promoting prompt shipping. 
  • Sales Profit Payouts: Upon order completion and delivery confirmation, profits are eligible to disbursed to Vendors. Consistently performing Vendors may qualify for expedited payouts, only requiring valid tracking information for acceleration.
  • Payout Scheduling: To enhance efficiency, we have a payment release schedule: if delivery is confirmed by Thursday, funds are released the following Friday. Confirmations after Thursday result in funds being released on the second Friday thereafter. This setup is designed to encourage timely deliveries by Vendors.
  • Adjustment in Incentive Strategy: The Collaborative Growth Incentive has been absorbed into TMN operations. Adjustments to TMN’s profit allocation for community growth will be communicated.
  • Secure Payment Processing: Transactions are managed through reputable payment processors, ensuring a smooth and secure purchasing experience.

Vendor Responsibilities and Benefits

Marketplace Vendors are tasked with ensuring that their product descriptions, especially for Genetics, are detailed and accurate, highlighting the product’s quality and characteristics. Shipping of Genetics must be done safely and promptly, with tracking information provided to Patrons. Vendors are also responsible for adhering to all relevant laws and maintaining high standards of cleanliness and sterility in their workspaces to prevent contamination, underscoring their commitment to quality control and safety.

Compliance with Laws and Ethical Practices:

Vendors must comply with all legal and ethical guidelines associated with the trade and distribution of mycology products, reflecting TMN’s commitment to lawful operations. The policy includes specific compliance measures, such as restrictions on sales to certain states due to local laws, emphasizing TMN’s dedication to navigating the complex regulatory environment responsibly.

Embracing Diversity in Mushroom Species:

This section emphasizes TMN’s celebration of the vast diversity within mycology, encouraging the sharing and advancement of genetics from a broad spectrum of mushroom species. This approach not only enriches the TMN community but also fosters a deeper understanding and appreciation of mycology’s diversity.

These expanded sections aim to provide clarity and guidance to Marketplace Vendors, ensuring a comprehensive understanding of their responsibilities, the importance of compliance with laws and ethical practices, and the value of diversity in mushroom species within TMN’s marketplace.

Paid Tier Benefits: Enhancing Marketplace Presence:

TMN’s Premium Vendorships are structured to significantly boost Vendor visibility and engagement within the marketplace through strategic marketing and community engagement initiatives. These include prioritized placement in search results and categories, dedicated features in TMN’s newsletters, and amplified social media presence. Additionally, partnerships for educational content creation are encouraged, aligning vendor expertise with TMN’s educational outreach to enhance community knowledge and engagement.

Integration and Vendor Education:

To support Vendor success and integration into the TMN Marketplace, a comprehensive suite of resources and guidance will be provided. This includes:

  • Detailed Listing Requirements: Clear guidelines on how to create compelling and compliant product listings, emphasizing the importance of high-quality visuals and accurate descriptions.
  • Educational Content: A series of educational materials aimed at enhancing vendor knowledge on best practices for cultivation, marketing, and Patron engagement within the TMN community.
  • Personalized Support: Access to TMN’s Vendor/Patron Support Team for personalized guidance on optimizing product listings, navigating the platform, and engaging with the community effectively.

Through these initiatives, TMN aims to not only ensure a smooth integration for new vendors but also to continually support the growth and development of all vendors within the marketplace, enhancing the overall quality and diversity of offerings available to patrons.


Inventory Submission and Storage:

Myco-Vendor (Genetics Only)

  • Freedom Vendorship (Free): Vendors are required to send their genetics inventory in bulk to the nearest TMN Hub. This centralized approach ensures quality control and streamlined logistics for all genetics products.
  • Premium Vendorship (Paid): After maintaining a solid reputation for 6 months without any strikes, vendors have the option to transition to an Independent HUB, allowing them to ship directly from their location. This flexibility is maintained under a 3-strike policy based on the volume of complaints.

Myco-Creative (Non-Genetics Only)

  • Freedom Vendorship (Free): Non-genetics vendors ship their artisan products, equipment, supplies, and more directly to Patron Buyers from the start. TMN encourages adherence to secure and timely shipping practices as outlined in TMN guidelines.
  • Premium Vendorship (Paid): Following a 6-month period without any strikes, vendors become eligible for additional Premium options, potentially including the transition to an Independent HUB for direct shipping, subject to TMN’s discretion.

Myco-Blend (Blended)

  • Freedom Vendorship (Free): Blended vendors, dealing in both genetics and non-genetic products, initially follow the TMN Hub centralized quality control and logistics model. Direct shipping from vendors’ locations is not available in the free version.
  • Premium Vendorship (Paid): Premium vendors demonstrating positive performance for 3 months can opt for an Independent HUB, providing greater control over their inventory management and shipping logistics. This option offers a hybrid model to efficiently manage both genetics and non-genetics inventory.

Independent HUB Eligibility

  • Independent HUBs offer vendors greater autonomy over shipping and logistics. This option becomes available to Premium Vendors in genetics-only and blended categories after proving consistent quality and reliability in their operations. For non-genetics vendors, the Independent HUB option is available after a strike-free 6-month period, promoting excellence in product quality and customer service.

TMN HUBs:

  • TMN HUBs are centralized facilities managed by TMN to ensure quality control, secure storage, and efficient logistics for vendor inventory. All Freedom Vendorship categories initially utilize TMN HUBs for inventory management, with the potential for transitioning to Independent HUBs under the Premium Vendorship, following the successful adherence to TMN’s quality and performance standards.

Premium Option for High Turnover Products:

  • High Turnover Products: TMN may selectively stock certain high-demand non-genetics products in TMN HUBs to facilitate faster delivery to patrons. This benefit is exclusive to Premium Vendors across all categories, contingent upon TMN’s approval based on demand forecasts and inventory capacity.

COMPLIANCE WITH LAWS AND ETHICAL PRACTICES:

  1. You agree to abide by all legal requirements and ethical practices related to the trade of Genetics, and the sale and distribution of mycology products.

  2. We operate under strict compliance with laws and regulations. Any product intended for microscopy use only will automatically reject sales for residents in GA, ID, CA. We are not liable for any illegal activity conducted by Patrons or Marketplace Vendors.

TRANSPARENCY AND REPORTING:

  1. In the Mushroom Network, we prioritize transparency and aim to provide our Marketplace Vendors with regular reports. These documents detail sales, profits, collaborations with other Marketplace Vendors, and relevant information pertaining to the genetics sold within the Mushroom Network. We believe that these reports keep all parties informed, facilitating open and honest communication.

  2. Marketplace Vendors have the responsibility of maintaining accurate records of their contributed genetics, including their availability, updates, and any changes. This ensures that the Mushroom Network’s shared information remains up-to-date and reliable.

  3. To enable effective communication and seamless payout processes, Marketplace Vendors must provide certain details. These include their legal name, a valid email address, and a telephone number preferably with text capabilities. This information allows us to reach out to Marketplace Vendors promptly regarding any updates, inquiries, or significant announcements.

  4. In compliance with IRS regulations, tax laws, and other relevant legal requirements, there may be instances where the payout amount exceeds certain thresholds. In such cases, we may request additional information from the Marketplace Vendor, such as a copy of their government-issued ID, birthdate, social security number, or other necessary documentation to comply with the applicable laws. The Mushroom Network takes the security and protection of personal information seriously, implementing appropriate measures to safeguard it.

  5. By providing the requested information, Marketplace Vendors contribute to the overall transparency and integrity of the Mushroom Network, ensuring all operations are conducted in compliance with legal obligations. We appreciate your cooperation in providing these details and your trust in our commitment to creating a robust, ethical, and inclusive community for Mycologists worldwide.

DISPUTE RESOLUTION:

  1. In the event of a dispute, we advocate for open communication and a collaborative approach towards finding resolutions. We believe in fostering amicable relationships and solving conflicts with mutual respect and understanding.

  2. Our primary objective is to swiftly resolve matters while ensuring Patron satisfaction. Patrons are granted the ability to escalate matters to the Mushroom Network’s Patron Support Team for resolution if necessary. While we recommend that the Marketplace Vendor attempts to resolve the issue independently, the Mushroom Network retains the authority to intervene and make decisions between the disputing parties when involved. The Mushroom Network may also provide additional remedies that might not be readily available to the Marketplace Vendor.

  3. If a Marketplace Vendor suspects they are being scammed, exploited, or taken advantage of by a Patron, they may raise their concerns to the Mushroom Network’s Patron Support Center. We are committed to safeguarding our Marketplace Vendors and Patrons against scammers, malevolent actors, and gatekeepers. It is within our core values to provide a secure, fair, and supportive platform for all members of our community.

  4. Refunds, however, should be considered as an absolute last resort and handled on a case-by-case basis. Refunds require manual adjustments to the profit-sharing compensation used in Mushroom Network, which can be a complex process for Mushroom Network. Therefore, it is preferable to offer store credit as a resolution or even consider doubling the store credit value before considering a refund. It is important to note that certain payment processors, such as PayPal, have very specific policies, and we aim to maintain a positive working relationship with them as they ultimately help many Patrons access genetics easily for their personal situation. In situations where a refund is necessary and the Patron requests it, we will accommodate their request to avoid any negative impact on our relationship with the payment processor. However, in cases where a refund is provided, the decision for the Patron to be removed from accessing Mushroom Network and/or making future purchases, should strongly be considered and some kind of preventative action should be taken as they jeopardized the entire Mushroom Network from being able to continue using PayPal as one of our Payment Processors to make it easier for our Patrons.

3-Strike Policy for Vendors:

TMN implements a 3-strike policy to maintain marketplace integrity. Vendors accumulating three strikes for non-compliance with TMN’s standards, including shipping delays, poor product quality, or repeated customer complaints, may face suspension or termination of their vendorship. Strikes are reviewed annually, with the potential for removal based on improved performance and adherence to guidelines.

  2. We operate as a collective, working in unison for the greater good of the Mycology Community.

Mini Shop Customization: Expressing Brand Identity

Offering vendors the ability to customize their Mini Shops is a cornerstone of TMN’s vendor support strategy, allowing for a unique brand presentation. This customization includes the strategic layout of product offerings, integration of engaging product descriptions, and use of compelling design elements and visuals to create an immersive brand experience for Patrons.

CREATING, EDITING & PROMOTING PRODUCTS:

For all Marketplace Vendors, the process of creating, editing, and promoting products within the TMN Marketplace is vital for participation and growth. TMN Marketplace has been streamlined for efficiency and Vendor support. All Marketplace Vendors, regardless of their vendorship type, can submit and update their product listings. The process ensures submissions are reviewed in the order received, with a standard turnaround of 2-3 days, though exceptions may extend to 5 days before needing escalation. Paid Vendorships benefit from priority processing, enhancing their market presence. The Vendor Dashboard and Knowledgebase are critical resources, offering comprehensive guides for maximizing product visibility and engagement on the platform, aiming to support vendor growth and success.

  1. Submission Process: All Marketplace Vendors, irrespective of their vendorship status, are invited to submit new product listings to TMN. These submissions are meticulously reviewed in the order they are received.

  2. Review Timeline: A standard review period of 2-3 days is established for assessing submissions. However, exceptions may occur, potentially extending the review time to up to 5 days before any necessary escalation.

  3. Priority Processing: Vendors with Paid Vendorships receive the advantage of priority in the review queue. This privilege is designed to enhance their visibility and presence within the marketplace.

  4. Vendor Dashboard and Knowledgebase: These platforms serve as essential resources, providing Vendors with detailed guidelines and best practices for effective product presentation and promotion on TMN.

  5. Quality and Policy Compliance: TMN’s review process rigorously checks for quality, accuracy, and strict adherence to marketplace policies. Products failing to meet these standards will be rejected, with feedback provided for necessary adjustments.

  6. Revisions and Resubmissions: Vendors are given the opportunity to revise and resubmit their products following rejection. This iterative process ensures that all listings meet TMN’s high standards. And Vendors may request further clarification or request additional feedback from TMN, so that they can full understand what is needed.

  7. Consequences of Repeated Violations: Persistent failure to comply with TMN’s feedback and guidelines may result in strikes against the Vendor’s account. Continued violations could lead to account suspension, legal action, and other punitive measures to maintain the integrity and quality of the marketplace.


High-Quality Product Images and Additional Photos

Primary Image Requirements:

  • High-resolution, square images between 1200px to 3000px.
  • White or transparent background, without logos or watermarks, for uniformity and professionalism across TMN.

Additional Photos:

  • Must be free of logos or watermarks, ensuring clarity for strain’s main category images.
  • A transparent background is not necessary; however, images should be visually appealing, clear of clutter, and of high quality. Grainy or poorly lit photos are unacceptable.
  • Sizes for additional images can range from 800px to 2000px, allowing for various product angles and details.
  • TMN reviews all photos to ensure compliance with quality standards.

Service for Image Enhancement:

  • TMN offers image enhancement services, included for paid vendorships, with potential charges for vendors on the free plan.

Guidance for Vendors:

  • Consistent, high-quality lighting and clutter-free backgrounds are recommended.
  • TMN’s review process helps ensure product visuals meet marketplace standards, aiming to improve patron engagement and satisfaction.

Branding Guidelines:

  • Logos, enhancing brand recognition, should not obscure the product in the primary image and must not exceed 20% of the image size. They should avoid inappropriate content.
  • For primary genetics listings, logos are not permitted to maintain product focus. However, vendors’ logos may appear on their product pages within their personal shop.
  • Strain/Variant Specific Creators: Cultivar of the strain is an Active Vendor, they can add their Cultivar Logo. After verifying/proving they are the creator or cultivator of a strain/variant may opt to include their logo on the strain’s main category image, subject to TMN’s final approval. This policy aims to distinguish between strain lineage creators and general suppliers.

These guidelines are crafted to support TMN’s mission of fostering a vibrant, quality-driven marketplace. By adhering to these standards, vendors contribute to a trusted, engaging shopping environment for all patrons.

PRODUCT REVIEW PROCESS & COLLABORATIVE EFFORT:

  1. At the Mushroom Network, ensuring the quality and integrity of the products offered is of utmost importance. To maintain this standard, all products, regardless of the vendor type, undergo a manual review process before they are posted live for the public. However,🍄 Network Marketplace Vendors receive priority in the review queue, ensuring a streamlined process for their genetics.

  2. It is crucial to understand that making changes to live product pages can temporarily disrupt the availability of that particular item. Therefore, careful consideration and coordination are necessary when implementing modifications. The Mushroom Network, in collaboration with all Marketplace Vendors, identifies specific elements that are required by law to be added to all product pages or modifications that need to be made on the product page, depending on the product category or individual product itself or other circumstances that benefit the Mushroom Network. These adjustments are always made with the best interests of the Mushroom Network in mind, aiming to create a cohesive and harmonious experience for patrons and vendors alike.

COLLABORATION WITH OTHER MARKETPLACE VENDORS:

  1. At the Mushroom Network, we believe in the power of collaboration and fostering a sense of community among Marketplace Vendors. We actively encourage and facilitate collaboration between Marketplace Vendors within the Mushroom Network. This collaboration can take various forms, such as sharing knowledge, exchanging genetics, or partnering on joint projects.

  2. By working together, Marketplace Vendors can leverage their strengths, expand their offerings, and collectively contribute to the advancement of mycology. We encourage all Marketplace Vendors to actively engage with one another, share insights, and explore opportunities for collaboration.

  3. The Mushroom Network serves as a platform that facilitates these connections and provides the necessary tools and resources for effective collaboration. Through our website and communication channels, Marketplace Vendors can connect, exchange ideas, and work together to create a thriving Mycology Community.


MUSHROOM GENETIC PRODUCTS

GENETICS: AVAILABILITY, STORAGE, USE, & LONGEVITY:

  1. For  Genetic Mycology Vendors – You, as the Genetic Owner retain ownership over your submitted inventory of genetic colonies that you have provided to the TMN HUB. The HUB will actively make them always readily available to Patrons and store them in optimal conditions for the type of culture/media product.

  2. The primary purpose of the TMN HUBs is to ensure the longevity and preservation of these Genetics. When you contribute your Genetics, you can trust that they will be legally preserved and, where and when applicable, legally cultivated in accordance with the standard lab requirements used within the Mushroom Network. Our commitment to adhering to legal guidelines ensures the integrity and legitimacy of all genetics available through our platform. Packaging requirements also remain in effect to maintain consistency and quality across all offerings. Vendors should professionally package their products but TMN has branding options available too where we can put the final touches on your product to make them both more secure and less risk of contamination but also present your product in a way that only further compliments it and adds the professional touch of the TMN.

  3. At the Mushroom Network, we hold high expectations for the quality of Genetics available in our Mushroom Network. We strive to provide only the best genetics, emphasizing rigorous quality control measures. Our goal is to offer a comprehensive selection of genetics while promoting a diverse and inclusive environment that supports small mycologists and keeps big pharma out. By fostering an open and transparent platform, we aim to eliminate gatekeepers and create a welcoming community for all Mycologists.

  4. The Mushroom Network serves as a central hub that brings Mycologists together in a wholesome and friendly environment. We provide a well-designed website that offers a safe and convenient space for Mycologists to showcase, promote, and sell their genetics. We do not discriminate based on the type of mycelium or its perceived benefits or limitations. Instead, we recognize the inherent value of every genetic contribution, as we believe that each one has the potential to hold significant value and contribute to the advancement of mycology.

  5. By utilizing the Mushroom Network, we ensure that genetics are cultivated and preserved in accordance with legal requirements. This approach not only allows us to comply with regulations but also enables us to contribute to the exploration and discovery of potential breakthroughs. We recognize that any genetic contribution may hold the key to major advancements or, alternatively, contribute valuable insights in ways we cannot anticipate. In embracing this mindset, we strive to honor the interconnectedness of all genetics and the potential they hold for the betterment of our world.

  6. In the event that a Mushroom Network Marketplace Vendor & Genetic Owner decides to retrieve their master genetics and any network stored inventory, the Mushroom Network reserves the right to retain the genetics to continue offering them to the public from colonies created while under the care of the Mushroom Network. However, the Genetic Owner will be notified of this intention and their input will be taken into consideration. If the Genetic Owner does not wish for their genetics to continue being made available to the public through the Mushroom Network, reasonable accommodations will be made. However, it is well noted that the primary goal of the network is to ensure the longevity and availability of all kinds of genetics.

  7. Additional colonies, isolations, clones, transfers, and other derivatives created within the Mushroom Network will remain part of the network’s inventory, while the Genetic Owner retains ownership over their original contributions. Mushroom Network Marketplace Vendors may still have the opportunity to acquire these genetics occasionally, and additional compensation for the Genetic Owner may be offered. Any agreements regarding compensation and continued availability of the genetics should be made in writing to ensure clarity and officiality.

  8. Mushroom Network Marketplace Vendors may occasionally have the opportunity to acquire new genetics from within the network. Additional terms and restrictions may apply and all agreements regarding compensation and continued availability of the genetics are required in writing to ensure transparency, officiality, and accountability.

Ethical Conduct:

Vendors must comply with all applicable legal and regulatory frameworks governing the trade and handling of Genetics. This adherence is crucial for reinforcing the integrity of the marketplace and aligns with the Terms of Use (ToU) liability disclaimer. Vendors are expected to conduct their operations ethically, ensuring their activities within the Mushroom Network (TMN) comply with both the letter and the spirit of the law.

Prohibited Genetics:

The Mushroom Network prohibits the trade of certain Genetics due to legal restrictions, ethical considerations, or safety concerns. This policy ensures Vendors are fully informed of the types of Genetics that cannot be traded within the TMN, maintaining a safe and legal marketplace for all participants. Genetics Sourcing:

Vendors are encouraged to be transparent about the origins of their Genetics. Whether sourced from wild isolates, laboratory cultures, or reputable suppliers, clarity about provenance supports Patron trust and validates the quality of the offerings. This transparency aids Patrons in making informed decisions and fosters a culture of trust and integrity within the TMN.

Quality Control:

Vendors must adhere to strict hygiene and contamination prevention protocols, aligning with the best practices in mycology and biological trade. This includes proper sterilization techniques, secure packaging to prevent contamination, and rigorous quality control processes to ensure the highest standards of product integrity. The TMN will provide guidelines based on current mycological best practices to assist Vendors in meeting these requirements.

Pricing Strategy for Genetics-Only Products:

TMN introduces a nuanced pricing strategy to ensure the marketplace remains competitive yet fair. This strategy encompasses four distinct pricing tiers tailored to the unique aspects and quality of genetics-based products:

  • Lower End/Common Tier: Offers affordability for widely available genetics, ensuring broad access for enthusiasts and researchers.
  • Middle Shelf Tier: Balances rarity with accessibility, priced moderately to reflect a blend of value and uniqueness.
  • Premium Tier: Reserved for high-quality or rare genetics, this tier reflects the premium nature of the offerings.
  • Specialty Category: For exceptionally rare or cultivator-specific genetics, this tier allows for flexible pricing set by the vendor, subject to TMN’s approval to maintain market fairness and prevent gouging.

This structured approach facilitates transparency in pricing, enabling patrons to navigate the marketplace effectively while recognizing the value and effort behind each genetic offering.

Shelf-Life Management and Product Utilization:

TMN acknowledges the varying shelf-lives of mycology products, such as CMS, Agar Plates, and Agar Slants, Spore Syringes, offering a storage life of 3 to 6 months at TMN HUBs. For products nearing the end of their sell-by-storage date, TMN offers several options to maximize product value and community benefit:

  1. Discounts and Sales: Products can be listed in a sale or discounts section to encourage quick sales.
  2. Mystery Box Inclusion: Products may be included in mystery boxes, with vendors receiving a percentage of the profits, after covering expenses.
  3. Return or Donation: Vendors can choose to have items returned at their expense or donate them to TMN for community distribution.
  4. Automated Decision Response: Vendors are encouraged to set up an automated response for their intentions. Products not addressed within one week post-expiration are considered abandoned, with TMN deciding their disposition.

HUB Inventory Management:

Vendors have the right to request the return of stored items at any time, at their expense. Specific protocols are in place for account termination:

  • Expired Items: One week is given for the return of past shelf-life items.
  • General Inventory: Two weeks are allowed for the return of other inventory items, extendable by two additional weeks as a courtesy (if communicated to TMN).
  • Storage Charges: Beyond the courtesy period, a daily storage charge of $25 applies. Unaddressed items will be considered abandoned, subject to donation to TMN or disposal.

These additions aim to ensure clarity and fairness in managing the lifecycle of products within TMN’s ecosystem, aligning with the network’s commitment to quality, sustainability, and community support.

QUALITY ASSURANCE AND CONTROL:

The Mushroom Network’s Quality Assurance and Control Policy outlines our commitment to upholding and maintaining high standards for all Genetics available within our Marketplace. We have established a thorough quality control procedure to ensure only premium Genetics are traded within the community.

  1. Marketplace Vendor Verification: To onboard a new Marketplace Vendor into the Mushroom Network’s Marketplace, we necessitate the submission of sample Genetics, typically ranging from 1-3 different varieties. These samples are subject to a meticulous quality control examination to ensure they meet our high quality standards. Acceptance into the Mushroom Network is contingent upon the successful clearance of this quality control check. Please be aware that these samples should not be expected to be returned, as they are for internal testing purposes. However, the Mushroom Network will cover the shipping and receiving costs associated with these samples.

  2. New Vendor Deposit: For new Marketplace Vendors who are unable to provide samples for verification, a refundable deposit of $100 is then required. This deposit serves as a security measure to ensure compliance with our quality standards. The deposit will be held for a minimum period of 90 days. The deposit is refundable, provided the vendor can demonstrate their reliability and the quality of their Genetics during this period. In exceptional cases, the holding period for the deposit can be extended by an additional 180 days. The deposit will be returned to the Marketplace Vendor at the end of the holding period, provided they are in good standing with the Mushroom Network.
  3. Continuous Monitoring: Once a Marketplace  Vendor is part of the Mushroom Network, we continue to monitor their product quality. We may request additional samples at any point during the tenure of their Vendorship, especially if we receive complaints or concerns regarding a Marketplace Vendor’s product(s).

  4. Sampling Process: Samples should be sent promptly upon request to our quality Control Department. All Genetics will undergo a rigorous examination process, carried out by our team of skilled mycologists. The criteria for evaluation include genetic viability, purity, and overall quality.

  5. Action on Complaints: Any complaints received regarding a vendor’s Genetics will trigger an immediate quality check. The concerned vendor will be notified and asked to submit samples of the contested product for reevaluation.

  6. Non-compliance Consequences: Failure to adhere to this Quality Assurance and Control Policy may lead to sanctions against the Marketplace Vendor. These could range from warnings and suspension of Vendorship to removal from the network, depending on the severity of the breach.

  7. Appeal Procedure: Marketplace Vendors have the right to appeal any decision made as a result of this policy. Appeals should be submitted in writing to the Mushroom Network’s Vendor Support Center, clearly outlining the reasons for the appeal. The decision of the appeal committee will be final.

  8. Continuous Improvement: We encourage our Marketplace Vendors to continuously strive for improvement. Regularly updating and refining their Genetics not only adds value to the individual vendor’s offering but also contributes to the overall quality and diversity of Genetics available in the Mushroom Network.

  9. Policy Application: This Quality Assurance and Control Policy is applicable to all Marketplace Vendors, irrespective of their Vendorship type. All vendors are expected to comply fully with this policy.

By implementing this policy, we aim to build and maintain trust within the Mushroom Network, ensuring Patrons can purchase and trade Genetics with complete confidence in their quality and reliability.

SAFE STERILE TECHNIQUES:

  1. You agree to use safe, sterile techniques to maintain the integrity of the Genetics and ensure the highest quality products.

  2. You are responsible for utilizing a Laminar Flow-Hood or, at the very least, a Still Air Box when handling and processing Genetics for the Mushroom Network. By employing these techniques, we ensure the production of clean and viable genetics for the benefit of the entire Mushroom Network.

  3. Mycologist Vendors are responsible for maintaining the cleanliness and sterility of their workspaces, tools, PPE, and equipment to prevent cross-contamination and maintain the highest standards of quality and safety.
  4. In the event of repeated reports of dissatisfaction from Patrons or other Mycologist Vendors regarding the quality or reliability of genetics, Mushroom Network reserves the right to remove the concerned Mycologist Vendors’ genetics from the platform. While the Mycologist Vendor will still be eligible to earn from referrals, their genetics will no longer be publicly available to all Patrons within the Mushroom Network, or at least until they can demonstrate that quality control has significantly improved. This measure ensures that the Mycology Community as a whole maintains its commitment to quality control and upholds the highest standards of genetics offered within the Mushroom Network.
  5. Maintaining quality control is of paramount importance to the integrity and reputation of our 🍄 Network. By prioritizing safe sterile techniques and holding Mycologist Vendors accountable for the quality of their Genetics, we foster an environment of trust and confidence among Patrons and fellow Mycologist Vendors.
  6. We are dedicated to the continuous improvement and advancement of mycology, and adherence to safe sterile techniques is a fundamental pillar of our Network. Together, we can ensure the highest standards of genetics, provide exceptional products to Patrons, and contribute to the growth and success of the Mushroom Network.

 

INTELLECTUAL PROPERTY RIGHTS:

  1. You retain ownership of the intellectual property associated with your Genetics, granting us a limited license to use and display this intellectual property for promoting and marketing your Genetics on the Mushroom Network’s platform.

  2. You represent and warrant that you have the necessary rights and permissions to share and distribute genetic information, images, and other related materials.

PAYMENT PROCESSORS:

  1. As part of our commitment to providing a smooth and efficient purchasing experience, the Mushroom Network employs reputable payment processors such as PayPal and other payment processors to manage transactions. These payment processors are third-party services that facilitate the secure transfer of funds between Patrons and the Mushroom Network.

  2. By using these payment processors, we are obliged to adhere to their respective terms of service, policies, and restrictions. This commitment helps ensure that our operations are aligned with established financial regulations and best practices, thereby fostering a safe and reliable platform for all users.

  3. In circumstances where a Patron threatens to escalate an issue to the payment processors, we will always prioritize the concerns of the Patron. Our goal is to maintain positive relationships with our payment processors, as this is crucial for the continued functioning of our network and its ability to offer quick and convenient payment methods for the acquisition of Genetics.

  4. We believe that resolving any potential disputes or disagreements effectively and professionally is in the best interest of the Mushroom Network as a whole. Therefore, we will always strive to balance the satisfaction of our Patrons and the expectations of our payment processors. Ultimately, our primary objective is to maintain a reliable, secure, and efficient platform for the exchange and purchase of Genetics and other Products/Services.

NO TOLERANCE FOR SCAMMERS, DISRUPTIVE BEHAVIOR, OR GATEKEEPERS:

  1. The Mushroom Network is a safe and welcoming community that promotes transparency and collaboration. We have a zero-tolerance policy for scammers or individuals who seek to disrupt the community or engage in unethical practices. We encourage a supportive and respectful environment for all members.
  2. Gatekeeping of genetics or any attempt to monopolize the market is strictly prohibited. We believe in fostering an inclusive Mushroom Network where trusted Marketplace Vendors work together to make a diverse range of genetics available to Patrons and other Marketplace Vendors Mushroom Network at reasonable rates.
  3. We foster a community that is free from gatekeeping and actively discourages any disruptive or unethical behavior. We are committed to maintaining a safe and supportive environment where Marketplace Vendors collaborate and share knowledge to advance the field of mycology
  4.  

GOVERNING LAW:

  1. This Agreement is governed by the laws of the State of Florida, without regard to its conflict of laws rules.

By entering into this Mushroom NetworkMarketplace Vendor Agreement, all parties involved aim to establish a transparent and mutually beneficial partnership within the Mushroom Network. Together, we commit to supporting the growth of the Mushroom Network, fostering collaboration, and expanding the availability of diverse and high-quality genetics for the benefit of the Mycology Community and enthusiasts worldwide.

WAIVER OF LEGAL CLAIMS & LIABILITY RELEASE:

By becoming a Marketplace Vendor on the 🍄 Mushroom Network, the Marketplace Vendor agrees not to hold the 🍄 Mushroom Network or its affiliates liable for any legal issues, disputes, or claims that may arise from the sale or trade of their products. The Marketplace Vendor explicitly waives their right to pursue any legal action or file any claims against the 🍄 Mushroom Network for any damages, losses, or consequences related to the products, their legality, or any associated matters.

The Marketplace Vendor understands and accepts full responsibility for complying with all applicable laws and regulations governing their products, sales, and trade activities. They acknowledge that the 🍄 Mushroom Network provides a platform for facilitating transactions and does not assume any liability for the legality, quality, or outcome of the Marketplace Vendor’s products or business operations.

It is imperative for the Marketplace Vendor to comprehend the implications of this waiver and release of liability before engaging in any business activities on the 🍄 Mushroom Network.

INDEMNIFICATION:

  1. You agree to indemnify and hold us harmless against any claims, costs, damages, liabilities, and expenses arising out of or in connection with your violation of any term of this Agreement.

TERM AND TERMINATION:

  1. This Agreement will remain in full force and effect while you offer Genetics through the Mushroom Network.

  2. Either party may terminate this Agreement at any time for any reason by providing written notice to the other party. The Mushroom Network, however, reserves the right to terminate a Marketplace Vendor’s participation in the network at its sole discretion, with or without providing any reason. In the event of termination by the Mushroom Network, the Marketplace Vendor will not be entitled to any refund of subscription fees already paid, which will be deemed forfeited.
  3. Upon termination, Marketplace Vendors will be given a reasonable period to remove their genetics and associated materials from the Mushroom Network.

  4. All rights and licenses granted under this Agreement will cease upon termination, and the Marketplace Vendor will no longer be entitled to the benefits and privileges of participating in the Mushroom Network. However, any research data, and/or media content or materials that Marketplace Vendors may have submitted or made available on the Mushroom Network will be retained by the Mushroom Network. The Mushroom Network reserves limited rights to use these media files at its sole discretion, even after termination of the Agreement.
